Rights and Obligations of Honorary Members at Koperasi Amanah Pelaburan Berhad (KAPB)

Rights:

  1. Limited Liability: Liability is restricted to the number of shares contributed.
  2. Dividend Distribution: Entitled to dividend distribution based on the shares contributed in the last period of the financial year.
  3. Attendance at AGM: Right to attend and speak at the Annual General Meeting, subject to the scope of Honorary Membership.
  4. Participation in Meetings: Can attend and present business projects at the AMC and, if invited, the BOC’s Meeting.
  5. Business Priority: Given priority by the Koperasi Amanah Pelaburan Berhad (KAPB) before offering to the public.
  6. Use of Facilities: Allowed to use KAPB infrastructure and facilities with BOC approval.
  7. Access to Reports: Access to Financial Management, Expenditure, and Minutes of Meetings Reports within the scope of Honorary Members’ Fund.
  8. Business Conduct: Permitted to conduct business with KAPB’s associates or enter into joint ventures with their associates with BOC consent.

An Honorary Member of Koperasi Amanah Pelaburan Berhad KAPB, shall at all times, have the following rights and obligations:-

Rights:

  • Liability is limited to the number of shares contributed;
  • The distribution of dividend is limited to the number of shares contributed in the last period of the current financial year, if less, the distribution on an annual pro-rated basis;
  • The right to be present and to speak at the Annual General Meeting of the Cooperative, subject to the scope of Honorary Membership, use of the funds of Honorary Members and any business arising with the Cooperative;
  • To attend and present business projects at the level of the AMC and, if invited, the BOC’s Meeting;
  • Business priority is given by the cooperative before offering to the public;
  • Allowed to use the Cooperative infrastructure and facilities subject to the approval of the BOC;
  • Have access to the Financial Management, Expenditure and Minutes of Meetings Report which is limited to and within the scope of the Honorary Members’ Fund and authorised by the BOC;
  • Conduct and carry on business with the Cooperative’s business associates or enter into joint ventures with cooperative’s business associates, subject to written consent of the BOC.

Obligations:

  • Maintains the good name and interest of the Cooperative at all times;
  • Complies with the provisions of the Cooperative By-Laws and the Rules;
  • Ensures that responsibilities towards the Cooperative are met;
  • Prohibited from using the name of the Cooperative in any representation;
  • Gives priority to the Cooperative in any business ventures; and,
  • Complies with the undertaking and pledge as an Honorary Member of the Cooperative.

Membership

Eligibility Criteria for Honorary Membership at KAPB

To qualify as an Honorary Member at Koperasi Amanah Pelaburan Berhad (KAPB), individuals or business entities must meet the following criteria:

  1. Citizenship: Must be a citizen or a non-citizen eligible to conduct business in Malaysia.
  2. Minimum Contribution: Contribute shares in the Cooperative Honorary Members’ fund, with a minimum of RM50,000. Additional contributions or withdrawals should be made in increments of RM10,000.
  3. Letter of Undertaking: Provide a Letter of Undertaking to the Cooperative outlining the rights and liabilities as an Honorary Member.
  4. Clean Record: Must not have been convicted of a registrable offence within the last year or removed from the membership of any cooperative within the same period.
  5. Commitment Period: Agree that the shareholding contribution will be retained in the Cooperative for a minimum of 2 years from the date of admission as an honorary member.

Membership Requirements for Existing Members

To become a member of Koperasi Amanah Pelaburan Berhad (KAPB), individuals must fulfill the following criteria:

  1. Malaysian Citizenship: Must be a Malaysian citizen.
  2. Muslim: Must be of the Muslim faith.
  3. Age Requirement: Must have reached the age of 18 years.
  4. Mental Capacity: Must not be mentally disabled.
  5. Financial Status: Must not be an undischarged bankrupt.
  6. Clean Record: Must not have a conviction for a registerable offence.
  7. Membership Status: Must not have been expelled from membership under this Act, and at least one year must not have passed since the date of expulsion.

HONORARY MEMBER

To be eligible as an Honorary Member, a cooperative Koperasi Amanah Pelaburan Berhad KAPB, an individual or business entity must be:

  1. Citizen or Non-Citizen who is eligible to do business in Malaysia;
  2. Contributes shares in the Cooperative Honorary Members’ fund for a minimum of RM50,000, with an aggregate amount of RM10,000 for each addition and withdrawal, for each honorary membership;
  3. Produces a Letter of Undertaking to the Cooperative regarding the rights as an Honorary Member as well as the liability as an Honorary Member;
  4. Has not been convicted for a registrable offence of which is still in force, or has been removed from the membership of any cooperative within one year;
  5. Agrees with the Cooperative that the shareholding contribution should be placed in the Cooperative and shall remain at least for a period of 2 years from the admission date of their honorary membership.

EXISTING MEMBER

In order to become a Koperasi Amanah Pelaburan Berhad KAPB member, you MUST

  1. be a Malaysian;
  2. be a Muslim;
  3. attained the age of 18 years old;
  4. not be mentally disabled;
  5. not be an undischarged bankrupt;
  6. not be a person whom conviction stands for a register-able offence; and
  7. not been expelled from membership under this Act and a period of one (1) year has not elapsed from the date of such expulsion.
