Membership
Eligibility Criteria for Honorary Membership
To qualify as an Honorary Member at Koperasi Amanah Pelaburan Berhad (KAPB), individuals or business entities must meet the following criteria:
- Citizenship: Must be a citizen or a non-citizen eligible to conduct business in Malaysia.
- Minimum Contribution: Contribute shares in the Cooperative Honorary Members’ fund, with a minimum of RM50,000. Additional contributions or withdrawals should be made in increments of RM10,000.
- Letter of Undertaking: Provide a Letter of Undertaking to the Cooperative outlining the rights and liabilities as an Honorary Member.
- Clean Record: Must not have been convicted of a registrable offence within the last year or removed from the membership of any cooperative within the same period.
- Commitment Period: Agree that the shareholding contribution will be retained in the Cooperative for a minimum of 2 years from the date of admission as an honorary member.
Membership Requirements for Existing Members
To become a member of Koperasi Amanah Pelaburan Berhad (KAPB), individuals must fulfill the following criteria:
- Malaysian Citizenship: Must be a Malaysian citizen.
- Muslim: Must be of the Muslim faith.
- Age Requirement: Must have reached the age of 18 years.
- Mental Capacity: Must not be mentally disabled.
- Financial Status: Must not be an undischarged bankrupt.
- Clean Record: Must not have a conviction for a registerable offence.
- Membership Status: Must not have been expelled from membership under this Act, and at least one year must not have passed since the date of expulsion.
Rights and Obligations of Honorary Members
Rights:
- Limited Liability: Liability is restricted to the number of shares contributed.
- Dividend Distribution: Entitled to dividend distribution based on the shares contributed in the last period of the financial year.
- Attendance at AGM: Right to attend and speak at the Annual General Meeting, subject to the scope of Honorary Membership.
- Participation in Meetings: Can attend and present business projects at the AMC and, if invited, the BOC’s Meeting.
- Business Priority: Given priority by the Koperasi Amanah Pelaburan Berhad (KAPB) before offering to the public.
- Use of Facilities: Allowed to use KAPB infrastructure and facilities with BOC approval.
- Access to Reports: Access to Financial Management, Expenditure, and Minutes of Meetings Reports within the scope of Honorary Members’ Fund.
- Business Conduct: Permitted to conduct business with KAPB’s associates or enter into joint ventures with their associates with BOC consent.
Obligations:
- Maintain Cooperative’s Reputation: Uphold the good name and interest of KAPB.
- Compliance: Adhere to KAPB By-Laws and Rules.
- Meeting Responsibilities: Ensure responsibilities towards KAPB are fulfilled.
- Use of KAPB’s Name: Prohibited from using KAPB’s name in any representation.
- Business Priority: Give priority to KAPB in any business ventures.
- Compliance with Pledge: Fulfill the undertaking and pledge as an Honorary Member of KAPB.
